When CFAO Healthcare—Toyota Group’s pharmaceutical arm—announced its 100% acquisition of Goodlife Pharmacy, it made headlines across East Africa’s healthcare and investment communities. But behind the scenes of this high-profile transaction stood a multidisciplinary team of Deloitte professionals who played a pivotal role in guiding the deal to successful closure.

Deloitte Africa served as the financial and tax due diligence advisor to CFAO Healthcare, providing deep transaction insights, cross-border tax structuring support, and regulatory analysis that helped shape the final contours of the acquisition.

This acquisition gives CFAO Healthcare full control over East Africa’s largest private pharmacy chain—Goodlife Pharmacy—with nearly 150 outlets across Kenya and Uganda, serving over 2 million patients annually. For Deloitte, it was an opportunity to deploy its best cross-border talent in transaction services, tax structuring, and assurance advisory.

A Multi-Disciplinary Team Across Borders

The transaction was delivered through a tightly coordinated effort by Deloitte Africa’s Transaction Services, Tax, and Assurance teams.

The Transaction Services Advisory Team played a pivotal role in delivering financial due diligence and strategic insights that underpinned CFAO Healthcare’s acquisition of Goodlife Pharmacy. Leading this high-caliber team was Frédérique Lévêque-Chenevoy, the Managing Partner for M&A Transaction Services at Deloitte France. With more than 26 years of experience in global deal advisory, Frédérique brought deep cross-border expertise and technical rigor to the assignment, having previously worked extensively across both European and U.S. markets.

She was joined by Kevin Kimotho, Partner in M&A at Deloitte East Africa, who brought over 14 years of regional experience in corporate finance, private equity, and transaction services. As the East Africa Private Equity Leader, Kevin was instrumental in coordinating the regional aspects of the deal and aligning them with CFAO Healthcare’s strategic objectives.

The Tax Advisory Team from Deloitte Africa played an equally critical role in ensuring the transaction was not only financially sound but also tax-efficient and compliant across multiple jurisdictions. This team was led by Patronella Namubiru, Partner in the Tax & Legal practice at Deloitte Africa, and a highly respected tax lawyer with over 19 years of experience in international tax, regulatory compliance, and transaction structuring. Based in Kampala, Patronella brought deep regional knowledge and legal acumen to the deal, guiding CFAO Healthcare through complex cross-border tax considerations.

Working alongside her was Doris Gichuru, a Tax Manager known for her hands-on approach to tax planning and compliance. Frédérique Lévêque-Chenevoy is the Managing Partner for M&A Transaction Services at Deloitte France, bringing over 26 years of experience within the firm, including three years based in New York. She is a seasoned mergers and acquisitions advisor, with a deep focus on financial due diligence, deal structuring, and transaction-related financial reporting.

Throughout her career at Deloitte, Frédérique has supported both financial sponsors and corporate investors across a wide range of sectors, including life sciences, telecommunications, manufacturing, and consumer retail. Kevin Kimotho

Kevin Kimotho is a Partner in the Mergers & Acquisitions (M&A) and Strategy, Risk & Transactions practice at Deloitte East Africa, based in Nairobi, Kenya. With over a decade of experience in tax advisory and financial consulting, Lydia brings deep expertise in cross-border taxation, M&A tax structuring, and ESG-focused advisory.

Lydia joined Deloitte in 2013 and has steadily progressed through the ranks from Senior Tax Associate to her current managerial role. She has worked across both Uganda and Kenya, supporting multinational and local clients in industries including financial services, oil and gas, manufacturing, construction, agriculture, and general trade.

Tony holds a Master of Science in Finance and a Bachelor’s degree in Economics and Statistics (First Class Honors)from the University of Nairobi. He is a qualified Certified Public Accountant (CPA-K) and Certified Investment and Financial Analyst (CIFA-K), and is a member of both ICPAK and ICIFA.

Throughout his career, Tony has led engagements across multiple industries—including FMCG, media, telecommunications, healthcare, manufacturing, aviation, financial services, NGOs, and education. He is experienced in risk-based audit planning, internal control assessments, IFRS and U.S. GAAP compliance, and stakeholder reporting, including presentations to boards and audit committees.

Known for his cross-functional team leadership, technical competence, and training mentorship, Tony continues to contribute to Deloitte’s excellence in assurance delivery in East Africa.

Damaris Karanja

Senior Associate, Assurance, Deloitte East Africa

Damaris Karanja is a Senior Associate at Deloitte East Africa, based in Nairobi, Kenya. She joined Deloitte in 2022 as an Audit Associate and was promoted to her current role in 2023.

She holds a Bachelor of Economics degree with a focus on Development Economics and International Development from the University of Nairobi, earned between 2017 and 2021.

Her professional experience includes audit planning, financial reporting, and assurance services across multiple sectors. She works as part of Deloitte’s audit and assurance team, supporting clients with regulatory compliance, risk assessment, and audit execution.

Karanja is part of the next generation of Deloitte professionals contributing to the firm’s work in financial transparency and governance in East Africa.
